These Terms of Use govern your use of the Nudge mobile application, website, and related services.

Nudge is owned and operated by Elys Health Technology Ltd. By accessing or using Nudge, you agree to these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old to use Nudge. By using the Services, you confirm that you are legally able to agree to these Terms and that the information you provide is accurate.

2. About Nudge

Nudge is a wellness and tracking application that may help users monitor GLP-1 medications and injections, weight and progress, nutrition and hydration, symptoms and side effects, activity, habits, and wellness goals. Features may change or be updated over time.

3. Medical Disclaimer

Nudge is a support and tracking tool. It is not a healthcare provider, medical device, pharmacy, or emergency service. Nudge does not provide medical advice, diagnosis, treatment, or prescriptions. Information, reminders, insights, calculations, or recommendations provided through the Services are for general informational and wellness purposes only.

Always consult a qualified healthcare professional before making decisions about your medication, dosage, symptoms, treatment, nutrition, or health. If you are experiencing a medical emergency, call 911 or seek immediate medical assistance.

4. Your Account

You are responsible for providing accurate account information, keeping your login details secure, maintaining the security of your device, and notifying us of unauthorized access. You are responsible for activity conducted through your account.

5. Your Data

You retain ownership of the information you enter into Nudge. You give us permission to store, process, display, and back up that information only as needed to provide, maintain, secure, and improve the Services. Our handling of personal and health information is described in our Privacy Policy and Health Data Privacy Policy. We do not sell identifiable health information.

6. Subscriptions and Payments

Nudge may offer free and paid features. Subscriptions purchased through the Apple App Store or Google Play are processed and managed by the applicable app store. Unless otherwise stated, subscriptions renew automatically; you may cancel through your app-store subscription settings; deleting the app does not automatically cancel your subscription; refunds are governed by the applicable app store’s policies; and pricing may change with notice where required.

7. Acceptable Use

You may not use Nudge for unlawful purposes, attempt to gain unauthorized access to the Services, copy, reverse engineer, or commercially exploit the app, upload malicious code, interfere with the operation or security of the Services, or use Nudge to provide medical advice to others. We may suspend or terminate access if these Terms are violated.

8. Intellectual Property

Nudge, including its software, branding, designs, graphics, content, and technology, is owned by Elys Health Technology Ltd. or its licensors. You receive a limited, personal, non-transferable license to use the Services for your own lawful, non-commercial purposes.

9. Third-Party Services

Nudge may use or connect with third-party services such as app stores, payment providers, analytics tools, cloud-hosting providers, Apple Health, or Google Health Connect. Those services may have their own terms and privacy policies. We are not responsible for their availability or practices.

10. Service Availability

We may update, modify, suspend, or discontinue parts of the Services at any time. We do not guarantee that Nudge will always be available, error-free, or compatible with every device. Reminders and notifications are provided for convenience and should not be relied upon as the sole method of managing medication or treatment.

11. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties regarding the accuracy, availability, reliability, security, or suitability of the Services for your individual circumstances.

12. Limitation of Liability

To the fullest extent permitted by law, Elys Health Technology Ltd. will not be liable for indirect, incidental, special, or consequential damages arising from your use of or inability to use the Services. Our total liability will not exceed the amount you paid for the Services during the 12 months before the event giving rise to the claim.

13. Termination

You may stop using Nudge or request account deletion at any time. We may suspend or terminate your access if you violate these Terms, misuse the Services, or create a security or legal risk.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date and provide additional notice where required. Continued use of the Services after the updated Terms take effect means you accept the revised Terms.

15. Governing Law

These Terms are governed by the laws of the state in which Elys Health Technology Ltd. is registered, without regard to conflict-of-law principles. Before publishing, replace this sentence with the specific state and venue confirmed by your attorney.
